Seed Supreme Affiliate Program AgreementThis Agreement sets forth the complete terms and conditions for participation in the **Seed Supreme Affiliate Program** (hereafter referred to as "the Program"). In this Agreement, "we," "us," or "Seed Supreme" refers to **Seed Supreme Seed Bank**, and "you" refers to the approved affiliate partner. "Site" refers to either **www.seedsupreme.com** or the site(s) identified in your application that you use to promote Seed Supreme using affiliate links.

# 1. Enrollment in the Program
To join the Program, you must complete and submit an application via our website. We will review your application and notify you of your acceptance or rejection.
Seed Supreme reserves the right to reject any application at our sole discretion. We may reject sites for reasons including (but not limited to):
- Promoting sexually explicit content
- Promoting violence or hate speech
- Promoting discrimination (based on race, gender, religion, nationality, disability, sexual orientation, or age)
- Promoting illegal activities
- Using "Seed Supreme" or similar variations/misspellings in domain names
- Violating intellectual property rights
**Coupon code and discount-focused websites are not eligible** for the Program and will be automatically rejected.
Affiliates may not use the Seed Supreme brand name (or similar cannabis business names) in **paid advertising**, including but not limited to Google Ads. For example, using keywords like “Seed Supreme” in a campaign will result in disqualification.
You may reapply to the Program at any time if your application is rejected. If you are approved but your site becomes unsuitable, we reserve the right to remove you from the Program.

# 2. Affiliate Links
To ensure proper tracking and reporting, we will provide you with unique, tagged affiliate links. You must use these links exactly as provided to track traffic and sales accurately.
Only sales generated through correctly formatted affiliate links (“Special Links”) will be eligible for commission.
By participating in the Program, you authorize Seed Supreme to access, store, and analyze data related to visitors referred through your links.

# 3. Order Processing
Seed Supreme will manage all order processing and fulfillment, including payment handling, shipping, returns, and customer service.
We reserve the right to reject orders that do not comply with our policies.
You will receive access to affiliate reporting showing qualifying transactions and referral earnings. The frequency and format of these reports may change at our discretion.

# 4. Referral Fees
You will earn referral fees as outlined in Sections 5 and 6.
To be eligible for a commission:
- The customer must click your affiliate link and complete a purchase within **14 days**
- The order must be paid for and successfully shipped
Purchases made for personal use, resale, or commercial use using your own affiliate link are strictly prohibited and may result in forfeited commissions or removal from the Program.
Fraudulent activity (e.g., fake clicks, misleading claims) will result in immediate termination and forfeiture of all unpaid commissions.

# 5. Commission Structure
Referral commissions are calculated based on **Qualifying Revenue**, defined as gross order value minus taxes, shipping, credit card fees, service charges, returns, and bad debt.
The current commission rate is displayed within your affiliate dashboard and is subject to change.

# 6. Commission Payout
Commissions are paid monthly, on or around the 15th of each calendar month, via **bank transfer**.
- You must add your bank account details in your affiliate dashboard to receive payments
- Payouts are issued only when your balance reaches at least **€100**
- If commissions were paid on orders that are later canceled or refunded, the corresponding amount will be deducted from future payments
- If your account remains negative for over 90 days, you may be invoiced for the outstanding balance

# 7. Customer Policies & Pricing
Customers referred through your affiliate links become Seed Supreme customers and are subject to our terms of service, return policies, and pricing structures.
Product pricing, availability, and policies may change at any time.

# 8. Public Representation
You may not issue press releases or make public statements about your participation in the Program without prior written approval from Seed Supreme.
You also may not misrepresent your relationship with Seed Supreme in any way — including suggesting sponsorship, endorsement, or partnership — unless explicitly agreed upon in writing.

# 9. Limited License
We grant you a non-exclusive, revocable license to use approved Seed Supreme logos, images, and banners solely for promoting our products via affiliate links.
You may not modify these assets or use them in a misleading, offensive, or inappropriate context.
Seed Supreme retains full ownership of all brand assets and may revoke usage rights at any time.

# 10. Your Responsibilities
You are solely responsible for the development, operation, and content of your website or promotional channels. This includes:
- Website functionality and technical setup
- Accuracy of all promotional content
- Ensuring content does not infringe third-party rights (copyright, trademarks, etc.)
- Ensuring compliance with applicable laws and privacy regulations, including cookie consent and data usage disclosures
You agree to indemnify and hold Seed Supreme harmless against any claims, liabilities, or damages resulting from your site or promotional activities.

# 11. Term & Termination
This Agreement remains in effect until terminated by either party.
You or Seed Supreme may terminate this Agreement at any time, with or without cause, by providing written notice (email is acceptable).
Upon termination, you must immediately remove all affiliate links, Seed Supreme branding, and promotional materials from your site or content.
You’ll only receive commissions on qualifying sales that occur before the termination date. We reserve the right to withhold final payments for verification.

# 12. Changes to Terms
We may update this Agreement at any time by posting a revised version on our website. Changes may include updates to commissions, policies, or rules.
Your continued participation in the Program after changes are posted constitutes acceptance. If you disagree with the new terms, you may terminate your participation at any time.

# 13. Independent Relationship
You and Seed Supreme are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship.
You may not make statements or commitments on behalf of Seed Supreme.

# 14. Limitation of Liability
Seed Supreme will not be liable for indirect, special, or consequential damages, including loss of revenue or data.
Our total liability related to this Agreement will not exceed the total commissions paid to you in the 12-month period preceding the event giving rise to the claim.

# 15. Disclaimer
We make no guarantees regarding the Program’s performance or the availability, pricing, or suitability of products sold on our site.
We do not guarantee uninterrupted access to our website or tracking systems and will not be liable for delays or disruptions beyond our control.

# 16. Independent Evaluation
You acknowledge that you’ve read this Agreement, understand its terms, and are not relying on any representation outside of what is explicitly stated here.
We may operate other affiliate programs or work with other partners on different terms, including with competitors.

### 17. Governing Law
This Agreement is governed by the laws of California and the United States, without regard to conflict of law principles.
You may not assign this Agreement without our prior written consent. Subject to that restriction, the Agreement binds and benefits both parties and their successors.
